    研究計画の2年目となる本年度は、一方で(a)現代の金融および市場と組織の関係に対してその取り結ぶ関係について現代の問題状況把握の更新を継続しつつ、他方で(b)研究の本丸をなす歴史社会において金融がその社会と取り結ぶ関係を複層的に研究する作業を、行なった。
    具体的には、(a)については、第一に、2010年代日本で象徴的な課題となったモニタリング・モデルというトポスが、アメリカで1970年代に与えられた理論枠組みが1980年代の買収ブームを背景に1990年代に定着した時系列とその背景にある構造の継時的な変化に着目し、ファイナンス理論、支配株式の理論的位置づけ、市場と社会に跨るリスク認識の複雑化等の要素に着目して、それが指名・報酬と監督との間に異なる理論的背景を持った歴史的複合体であること、このことが日本では混乱されて論じられる状況を分析した。第二に、同時期に長期間定着した金融緩和について、債権市場、市中銀行、中央銀行、従って財政を含めたMMT理論等問題群の検討を開始し、財政を含んだ経済社会の多層間の分節関係のあり方について、歴史学作業との突き合わせ作業を進めた。
    (b)については、第一に、前年度より行ってきた、古代地中海世界および西欧社会の重要な参照地点となった紀元前5世紀初めの構造を分析した作業をまとめ、公表した(「デモクラシーとイソノミー」)。第二に、以上のギリシャの展開は貨幣の登場さらには銀行取引の次元を伴うところ、まずはより成熟した研究のあるローマの金融社会について、J. Andreauの研究を中心としG. CamodecaやR. Bogaertらの研究、碑文等資料の分析を行なった。
    なお、以上の研究を進める過程で、現代の信用の基礎となる相続について、会社法の観点から分析し、「共有株式の権利行使者の指定方法」を公表した。

  • Legal historical research on the relation between legal personality and economic order

    This research analyzes the relation between corporate governance structure and fundamental economic order by analyzing the arguments on the theories of legal personality and their historical foundations in the aim of examining the Japanese legislative changes and Double Code (the Corporate Governance Code and the Stewardship Code) around 2014, on the understanding that those changes represent the Japanese version of the reaction to the fundamental change in the governance-market structure that dominates internationally since 90’s. This research found the structural divergence in the way of positioning civil society, which is a key to the understanding of the theories of legal personality, then to measure historically its fundamental meaning, analyzed the structural relation between the politics and economy at Athens in the archaic period which sets a starting-reference point of the historiographical analysis on the historical accumulations until the ultimate stratum in our time.

  • Juridical personality, asset and corporate restructuring --- comparative analysis of the legal concepts

    This research tries to uncover the meaning of the Japanese legislative changes on the corporate restructuring regime until 2005, and on the understanding that these changes correspond to the key elements of the international capital market - corporation structure formed and diffused from the 1980s United States, also tries to present a new perspective on the structural problems of the actual structure by examining the legal and historical foundations of those changes. Firstly, focusing on the relation between corporate asset and creditor, it analyzed how juridical personality and corporate restructuring are conceptualized historically vis-a-vis private law concepts in France. Secondly, on the relation between corporation and its members, it analyzed the structural problems of the actual interrelated system of corporate governance - capital market, thus proposed a hypothesis to (re)analyze the theories of the corporation accumulated from 19th century in the light of the modern problems.

  • A Legal-Historical Study on the Formation and Practices regarding the Institutions of Corporate Mergers and Acquisitions in China

    This study aimed at a historical understanding of how traditional Chinese society dealt with the formation of what might be called corporations and their mergers/acquisitions,and to study how such an insight might help us understand certain problems arising in corporate mergers and acquisitions in China today.
    Through a collaboration between a legal historian, a practicing lawyer of cross-border mergers and acquisitions in China, and a legal scholar specialising in corporate law, we first reconstructed the social processes whereby lineages and territorial organisations were formed,especially the institutions of property and credit that underpinned the formation and daily practices of these groups.
    We went on to present an understanding of certain corporate problems revolving around the tension between long-term social relationships and the need for clear-cut property rights, and applying such understanding to contemporary institutions of shareholding and corporate governance.

  • The structural analysis of the corporate restructuring and capital markets

    This research aims to uncover the meaning of the succession of the legislative reforms on the regime of corporate restructurings introduced after mid 1990’s in Japan. It shows, on the one hand, the legal regime of cash-out merger in the United States, of which those Japanese reforms followed as a model, emerged indivisibly with the close structural relation between the market for corporate control and organization which engendered during the 1970’s. Among that structure, this research extracts the formalization of the legal concepts of “corporation” and “merger” as its most legally remarkable feature, and shows the way those concepts in turn characterizes the structure of the recent financial crisis. Against the background of that whole structure, this research shows on the other hand that the reconsideration of those two concepts from those foundations in Japanese law, which is firmly rooted also in civil law, makes it possible clearly the substantial evaluation and meaning of those reforms.

  • Law and Historical Morphology of Credit

    Each of Specialists, not only of Modern Europe and America but also of Ancient Greece and Rome and Islamic world and pre-modern China and pre-modern Japan, collectively brought each historical analysis upon credit, mortgage, finance into a collision with accompanying various legal frameworks. And a mutual and acute discussion was held in a comparative perspective. So that it has become evident a limit of the precedent point of view which both theories have in common, of the actual problems of credit in the world and of the history of finance. This might suggest a new direction of constructing the fundamental theory of credit, but at most this remains unaccomplished, a fortiori a feedback process to each field of history waits us.
